BSEC orders probe into Aamra Technologies shares

The Bangladesh Securities and Exchange Commission (BSEC) has detected unusual movements in the share price and trading activity of Aamra Technologies, prompting the regulator to order an investigation into possible market manipulation, insider trading or other irregularities.

The BSEC’s Surveillance Department issued the directive on Wednesday, asking the Dhaka Stock Exchange (DSE) to complete the investigation and submit a report to the commission within 30 working days.

BSEC Executive Director and spokesperson Abul Kalam said the commission had found unusual activity in the company’s share price and trading. As the movement did not appear normal, the DSE was instructed to investigate the underlying reasons.

“If any irregularity is found during the investigation, action will be taken in accordance with the applicable laws,” he said.

According to DSE data, Aamra Technologies’ share price was Tk 13 on May 20. It subsequently rose steadily to Tk 23.10 on August 9, marking an increase of Tk 10.10, or 77.69%, in less than two and a half months. The share price has declined somewhat since then.

The investigation will examine whether the sharp rise occurred due to manipulation despite the company not disclosing any price-sensitive information during the period.

The BSEC has specifically instructed the DSE to determine whether coordinated or manipulative trading took place among investors in the company’s shares. It will also examine whether insider trading occurred through the use of undisclosed price-sensitive information.

The investigation will further assess whether the company’s stockbrokers, dealers and authorised representatives properly complied with margin-related regulations and BSEC directives.

The DSE has also been asked to determine whether any failure or liability on the part of relevant market intermediaries contributed to the suspected trading irregularities.

In addition, the investigation will examine whether any other provisions of securities laws and regulations were violated. The BSEC has also instructed the relevant brokerage firms’ chief executive officers, compliance officers and authorised representatives to remain vigilant about suspicious trading activities.

Aamra Technologies, an information technology company, was listed on the stock market in 2012. The company has paid-up capital of Tk 64.70 crore, divided into 6.47 crore shares.

As of July 31, 2026, sponsors and directors held 30.01% of the company’s shares, institutional investors held 32.06%, and general investors held 37.93%.
