State-owned power transmission company Power Grid Company of Bangladesh Limited (PGCB) has received approval to issue 1,324,294,764 preference shares. These shares, with a face value of Tk 10 each, will be issued to the Power Division in exchange for share money deposits.
The approval was granted by the regulator, Bangladesh Securities and Exchange Commission (BSEC), through a letter to the company on Tuesday, February 17, according to sources at the Dhaka Stock Exchange (DSE).
Under this arrangement, Power Grid has already transacted Tk 13,242,947,640 with the Power Division as equity for these shares. Up to June 30, 2024, these shares were held as “Deposit for Shares.”
Previously, for the 2022-23 fiscal year, PGCB had obtained BSEC approval to issue 2,505,404,976 preference shares (face value Tk 10 each) against deposits worth the same amount in the name of the Secretary of the Power Division.
According to financial reports, in the first half of the current 2025-26 fiscal year, Power Grid’s earnings per share (EPS) stood at Tk 5.22, compared to Tk 1.55 in the same period of the previous fiscal year. As of December 31, 2025, the company’s net asset value per share (NAVPS) was Tk 148.36.
In the most recent 2024-25 fiscal year, the company’s board did not declare any dividends for investors. In the same year, the company recorded a loss of Tk 2.30 per share, compared to a loss of Tk 6.69 per share in the previous year. As of June 30, 2025, NAVPS stood at Tk 139.29.
For the 2023-24 fiscal year, the board also did not announce any dividends. During that year, Power Grid reported a loss of Tk 5.01 per share, compared to a restated loss of Tk 10.11 per share in the previous year. NAVPS as of June 30, 2024, was Tk 132.61.
In the 2022-23 fiscal year, the board provided a 10% cash dividend to general investors, excluding the founder directors. In that year, EPS was a loss of Tk 8.89 per share, while the previous fiscal year EPS was Tk 1.70. NAVPS as of June 30, 2023, stood at Tk 159.47.
Listed on the capital market in 2006, Power Grid’s authorized capital is Tk 15,000 crore, and paid-up capital is Tk 9,138,070,000. Accumulated losses amount to Tk 1,487.65 crore. The total number of shares is 913,860,691, of which 58.50% are held by founder directors, 22% by the government, 14.56% by institutional investors, 0.01% by foreign investors, and the remaining 4.93% by general investors.
